1. Acceptance of Terms

By accessing or using Odalite ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service. Your continued use of the Service constitutes acceptance of any future amendments.

2. Service Description

Odalite is a dividend portfolio tracking and income analysis tool designed for individual investors. The Service provides:

• Portfolio tracking and performance analytics
• Dividend income projections and calendar
• FIRE (Financial Independence, Retire Early) calculator
• Stock screening and analysis tools
• Portfolio rebalancing suggestions

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree not to:

• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Resell or redistribute access to the Service without authorization
• Scrape or harvest data from the Service using automated means

5. Subscription Plans & Billing

Odalite offers free and paid subscription plans. For paid plans:

• Payments are processed by Paddle as the Merchant of Record
• Paddle handles all billing, tax collection, and invoicing on our behalf
• Prices are displayed in USD and may vary by region due to local taxes
• Subscriptions automatically renew at the end of each billing period
• You will receive an email notification before your subscription renews

By purchasing a subscription, you authorize Paddle to charge your payment method on a recurring basis until you cancel. You can manage or cancel your subscription at any time from your account settings.

6. Auto-Renewal & Cancellation

Paid subscriptions automatically renew unless cancelled before the renewal date. To cancel:

• Navigate to Account Settings → Subscription
• Click "Cancel Subscription"
• Your access continues until the end of the current billing period

Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period, except as required by applicable consumer protection laws. Please see our Refund Policy for details.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, and software — are the exclusive property of Odalite and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Data Accuracy Disclaimer

Financial data displayed in Odalite is sourced from third-party providers and may be delayed, inaccurate, or incomplete. Odalite makes no warranties regarding the accuracy, completeness, or timeliness of any financial data. You should independently verify all data before making any investment decisions. Odalite is not responsible for any losses arising from reliance on data provided through the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Odalite and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service. Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law. You waive any right to a jury trial or class action lawsuit.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
